What is HR outsourcing in South Africa?

HR outsourcing in South Africa is the practice of engaging a registered third-party provider to manage some or all employment and HR functions on behalf of a foreign or local business. This includes employment contracts, SARS PAYE, UIF and SDL contributions, COIDA registration, payroll processing, employee relations, and compliance with the Basic Conditions of Employment Act and Labour Relations Act.

The three main HR outsourcing models in South Africa are the Employer of Record (EOR), the Professional Employer Organisation (PEO), and managed payroll. An EOR becomes the sole legal employer and takes on full liability under the BCEA and LRA. A PEO operates as a co-employer alongside your business in a shared responsibility model. Managed payroll outsources only the payroll and statutory filing function, including SARS PAYE, UIF, SDL and EMP201 returns, while your company remains the legal employer.

Yes. ADS South Africa (Pty) Ltd is a registered legal entity incorporated with the Companies and Intellectual Property Commission (CIPC) and registered with SARS as an employer. We are not a broker, agent, or intermediary. Every employee we manage is employed directly by our South African entity, which holds full accountability under South African labour law.

HR outsourcing in South Africa is primarily governed by the Basic Conditions of Employment Act (BCEA), the Labour Relations Act (LRA), and the Employment Equity Act (EEA). Payroll obligations are governed by the Income Tax Act and administered by SARS, including PAYE withholding, UIF contributions under the Unemployment Insurance Contributions Act, SDL under the Skills Development Levies Act, and COIDA registration. Section 198 of the LRA specifically regulates labour broker and temporary employment service arrangements.

Yes. A foreign company can legally employ and pay workers in South Africa without registering its own local entity by engaging an Employer of Record such as ADS South Africa. The EOR becomes the registered employer under South African law, handling all CIPC, SARS, UIF, SDL and COIDA obligations. The foreign company retains full operational direction of the employees without carrying the legal and compliance burden of local entity registration.

With ADS South Africa, most clients have employees contracted, SARS-registered and operationally onboarded within 48 hours of engagement. Because our legal entity is already registered with CIPC, SARS, UIF and COIDA, there is no entity setup delay. Employment contracts are drafted under South African law and issued immediately on confirmation of engagement terms.

All employment contracts issued by ADS South Africa are drafted in compliance with the Basic Conditions of Employment Act and the Labour Relations Act. We issue both permanent (indefinite) contracts and fixed-term contracts where the role and circumstances justify it. Fixed-term contracts for employees earning below the BCEA threshold are subject to the restrictions set out in Section 198B of the LRA, including a maximum duration of three months without a justifiable reason.

South African HR outsourcing covers all statutory contributions required by SARS and the Department of Employment and Labour. These include PAYE (Pay-As-You-Earn income tax) withheld from employee salaries, UIF contributions at 1% from the employer and 1% from the employee, the Skills Development Levy at 1% of total payroll, and COIDA (Compensation Fund) registration and contributions. Monthly EMP201 returns and annual EMP501 reconciliations are filed with SARS on your behalf.

Failure to comply with South African employment law exposes foreign businesses to SARS penalties for late or incorrect PAYE, UIF and SDL filings, CCMA claims for unfair dismissal or unfair labour practices, LRA enforcement actions, and personal liability for directors in some circumstances. The Commission for Conciliation, Mediation and Arbitration (CCMA) handles disputes at no cost to employees, making non-compliance a significant financial and reputational risk for employers.

Yes. ADS South Africa provides end-to-end immigration support for international employees relocating to South Africa. This includes critical-skills visa applications, general work visa processing, intra-company transfer permits, and accompanying relative visas, all managed by our in-country immigration specialists in alignment with the Immigration Act and the Department of Home Affairs requirements.

Employee lifecycle management covers every stage of the employment relationship from pre-hire to post-termination. Under HR outsourcing with ADS South Africa (Pty) Ltd, this includes: drafting and issuing BCEA-compliant employment offers and contracts; onboarding with SARS PAYE, UIF, and COIDA registration; ongoing payroll and leave management; performance review frameworks; disciplinary and grievance procedures under the LRA; and compliant offboarding including notice periods, UIF termination notification, final payroll settlement, and SARS deregistration. The client retains operational direction throughout. ADS South Africa manages the statutory and administrative employment lifecycle in full.

Disciplinary processes in South Africa must comply with the Labour Relations Act’s requirements for fair reason and fair procedure. ADS South Africa manages the full disciplinary process as part of the HR outsourcing service: issuing the notice of disciplinary hearing with sufficient time for the employee to prepare, facilitating the hearing at which the employee has the right to be represented, issuing the outcome with reasons, and managing any appeal process. For serious misconduct including dishonesty, assault, or gross insubordination, ADS South Africa advises on the appropriate sanction and ensures the process is conducted in compliance with the CCMA’s Guidelines on Misconduct Arbitrations and the company’s disciplinary code.

Employees in South Africa have the right to raise formal grievances under the Labour Relations Act. ADS South Africa develops and implements grievance procedures as part of the HR outsourcing service, providing employees with a structured channel to raise workplace concerns before escalating to the CCMA or the Labour Court. The grievance process typically involves a written grievance submission, a formal grievance hearing, and a written outcome within a reasonable time. ADS South Africa manages all stages of the grievance process, maintains records, and escalates unresolved grievances through the correct LRA dispute resolution channels to protect both the client and the employee from unnecessary CCMA referrals.

Section 189 of the Labour Relations Act governs the retrenchment of employees for operational requirements, including economic, technological, structural, or similar reasons. ADS South Africa manages the full Section 189 process under the HR outsourcing service: issuing the written notice to consult, conducting the joint consensus-seeking process with affected employees or their union representatives, exploring alternatives to retrenchment, and applying objective and fair selection criteria such as last-in-first-out. Severance pay at a minimum of one week’s remuneration per completed year of service is calculated and processed through payroll. For large-scale retrenchments of 10 or more employees, ADS South Africa manages the Section 189A facilitated process through the CCMA.

Under the Basic Conditions of Employment Act, South African employees are entitled to 30 days of paid sick leave per 36-month cycle for five-day week employees, and three days of paid family responsibility leave per year for qualifying events including childbirth, a child’s illness, or the death of a close family member. ADS South Africa tracks both leave types in the HR and payroll system, manages the medical certificate requirement for sick leave exceeding two consecutive days or two occasions in any eight-week period, and ensures leave balances are accurately maintained, reported on each payslip, and paid out on termination where required under the BCEA.

The Protection of Personal Information Act (POPIA) regulates how personal information of employees and other individuals is collected, processed, stored, and shared in South Africa. ADS South Africa (Pty) Ltd operates as a responsible party and operator under POPIA for all employee data processed through its HR outsourcing service. This includes employment contracts, payroll records, SARS registration data, performance records, and HR correspondence. ADS South Africa processes personal information only for lawful employment purposes, retains records only as long as required by law, and implements appropriate security measures. Clients who are responsible parties under POPIA for their South Africa workforce are supported with data processing agreements and POPIA-compliant HR documentation frameworks.

The Labour Relations Act guarantees employees the right to freedom of association and collective bargaining. ADS South Africa manages all trade union-related HR obligations under the outsourcing service: processing union membership stop order deductions through payroll, managing union organisational rights, participating in consultation processes with union representatives, and complying with any applicable collective agreements or bargaining council determinations that affect the terms and conditions of employment. Where a bargaining council agreement applies to the client’s industry, ADS South Africa ensures compliance with the relevant council minimum wages, leave entitlements, and procedural requirements.

Employers with an annual payroll above R500,000 are required to remit the Skills Development Levy (SDL) at 1% of total payroll to SARS each month. SDL funds are allocated to the relevant Sector Education and Training Authority (SETA) for the employer’s industry. Employers who submit an annual Workplace Skills Plan (WSP) and Annual Training Report (ATR) to their SETA may claim back a portion of their SDL contributions as mandatory grants. ADS South Africa remits SDL as part of the monthly payroll service and supports clients in the WSP and ATR preparation process to maximise SETA grant recovery and meet Skills Development Act obligations.

The Employment Equity Act requires designated employers to prepare employment equity plans, implement affirmative action measures, and submit annual EEA2 and EEA4 reports to the Department of Employment and Labour. ADS South Africa advises clients on their Employment Equity Act obligations based on their South Africa headcount and payroll size, assists with workforce profile analysis, and supports the preparation of employment equity plans and annual report submissions. ADS South Africa also ensures that all recruitment, selection, promotion, and remuneration practices within the HR outsourcing framework are free from unfair discrimination in compliance with the EEA and the LRA.

The Commission for Conciliation, Mediation and Arbitration (CCMA) resolves workplace disputes at no cost to employees, making it accessible and frequently used. Most CCMA referrals in South Africa arise from disputed dismissals, unfair labour practices, or discrimination claims. ADS South Africa reduces CCMA risk through prevention rather than reaction: drafting BCEA and LRA-compliant employment contracts, implementing compliant disciplinary and grievance procedures, managing performance reviews with documented records, ensuring fair reason and fair procedure for every termination, and providing trained HR advisory support throughout the employment relationship. Clients benefit from ADS South Africa’s in-country CCMA experience without needing to maintain an in-house South African HR and legal team.

ADS South Africa manages end-to-end employee onboarding as part of the HR outsourcing service. Onboarding includes: drafting and issuing a BCEA-compliant employment offer and contract; completing SARS PAYE registration for the employee; registering the employee with the Unemployment Insurance Fund; activating COIDA coverage; issuing the required payroll information to the employee; and completing any required Employment Equity Act documentation. For foreign national employees, ADS South Africa coordinates with its in-country immigration team to confirm visa validity before employment commences. Most employees are onboarded and payroll-ready within 48 hours of engagement confirmation with ADS South Africa.

ADS South Africa manages compliant offboarding for all employment exits under the HR outsourcing service. This includes: calculating and processing the final payroll settlement covering outstanding salary, accrued annual leave payout at the ordinary wage rate, and any contractual payments; issuing the required BCEA notice period or making payment in lieu of notice; notifying the UIF of the termination using the required UI-19 and UI-2.7 forms; deregistering the employee with SARS PAYE; issuing the employee’s IRP5 at tax year end; and providing the employee with a certificate of service on request. ADS South Africa ensures every offboarding, regardless of the reason for termination, is managed in LRA and BCEA compliance to protect the client from post-termination claims.

ADS South Africa uses cloud-based HR and payroll systems to manage employee data, payroll processing, leave administration, and statutory compliance for clients across South Africa. All employee records, payslips, leave balances, and statutory filing histories are maintained in secure, access-controlled systems that comply with POPIA data protection requirements. Clients receive regular payroll reports, leave dashboards, and compliance summaries through secure reporting channels. ADS South Africa’s systems are configured to apply current SARS PAYE tables, UIF ceilings, SDL thresholds, and BCEA leave entitlements automatically, reducing manual error risk and ensuring consistent statutory compliance without the client needing to maintain payroll software or HR systems in-country.

Yes. ADS South Africa (Pty) Ltd provides HR outsourcing services for employees based across all nine provinces of South Africa, including remote workers and field-based staff. There is no geographic limitation on where ADS South Africa can manage employment, payroll, and HR compliance. All employees, regardless of their location within South Africa, receive BCEA-compliant employment contracts, payslips, and statutory benefits under the HR outsourcing service. Remote working arrangements can be documented in employment contracts or addenda, and ADS South Africa advises on the employer’s obligations under the Occupational Health and Safety Act for home-based employees where relevant.

Section 198 of the Labour Relations Act regulates labour broking and temporary employment service (TES) arrangements. A TES places workers with clients under a triangular employment structure. Section 198A provides that where a TES employee earns below the BCEA earnings threshold and has been placed with the same client for more than three months, the employee is deemed to be employed by that client and entitled to the same terms as the client’s own employees in similar positions. ADS South Africa’s EOR and PEO models are structured as direct employment arrangements, not TES placements, and are therefore not subject to the Section 198A deemed employment provisions. ADS South Africa advises clients on the structural distinction to ensure the correct employment model is used.

The Employment Tax Incentive (ETI) is a SARS incentive that reduces the monthly PAYE remittance for qualifying employers who hire young employees between the ages of 18 and 29 earning below a prescribed wage threshold. Where ADS South Africa manages payroll as part of the HR outsourcing service, it identifies ETI-eligible employees, calculates the monthly ETI reduction, and applies it to the EMP201 return each month, reducing the total PAYE payable to SARS. The ETI benefit is passed directly to the client as a reduction in monthly payroll cost. ADS South Africa manages the full ETI compliance documentation and reporting required by SARS.

Under the Basic Conditions of Employment Act, employees in South Africa are entitled to at least four months of unpaid maternity leave, with UIF maternity benefits available from the Unemployment Insurance Fund for up to 17.32 weeks at 38% to 60% of salary. Non-birth parents are entitled to 10 consecutive days of paid parental leave. ADS South Africa manages the full leave administration process under the HR outsourcing service: documenting the leave commencement and return dates, adjusting payroll for the leave period, processing the UIF maternity benefit application on the employee’s behalf, and arranging the compliant return to work. The BCEA prohibits requiring an employee to return to work within six weeks of giving birth without a medical certificate.

The Occupational Health and Safety Act (OHSA) requires all employers in South Africa to provide and maintain a working environment that is safe and without risk to the health of employees. Employers must conduct risk assessments, appoint health and safety representatives in workplaces with more than 20 employees, provide appropriate personal protective equipment, maintain records of injuries and incidents, and report accidents and occupational diseases to the Department of Employment and Labour and the Compensation Fund under COIDA. ADS South Africa advises clients on OHSA obligations applicable to their South Africa workforce, including remote and home-based employees, and supports COIDA injury-on-duty reporting as part of the HR outsourcing service.

Yes. HR outsourcing through ADS South Africa (Pty) Ltd is particularly well-suited to startups, scale-ups, and international companies entering the South African market for the first time. These businesses can hire, pay, and manage South African employees compliantly without establishing a CIPC-registered legal entity, building an in-country HR and payroll infrastructure, or navigating the full complexity of the BCEA, LRA, SARS, UIF, SDL, and COIDA regulatory environment independently. ADS South Africa provides a complete, scalable employment platform from day one. As the client’s South Africa operation grows, the HR outsourcing service scales with it, with the option to transition to a fully staffed in-house HR function or to a direct employment structure through the client’s own registered entity when the time is right.

ADS South Africa (Pty) Ltd is a registered legal entity incorporated with CIPC in the Republic of South Africa and registered with SARS as an employer. Our HR outsourcing service is delivered by an in-country team with direct expertise in the BCEA, LRA, Employment Equity Act, SARS PAYE, UIF, SDL, COIDA, POPIA, and OHSA regulatory frameworks that govern employment in South Africa. We are not a remote service, an agent, or a partner-managed operation. We offer all three HR outsourcing models, Employer of Record, Professional Employer Organisation, and managed payroll, through a single registered South African entity. Every client benefits from direct access to our in-country legal, payroll, and HR advisory team, a transparent fee structure, and the confidence of working with a company that is physically present and fully accountable under South African law.
